The term “ScottishPower” where used in this disclaimer shall mean, together or individually as the case may be, ScottishPower Limited and (i) any subsidiary or holding company from time to time of ScottishPower Limited and any subsidiary from time to time of a holding company of that company, the terms "holding company" and "subsidiary" being as defined in section 1159 of the Companies Act 2006 and a company shall be treated, for the purposes only of the membership requirement contained in subsections 1159(1)(b) and (c), as a member of another company even if its shares in that other company are registered in the name of (a) another person (or its nominee), whether by way of security or in connection with the taking of security, or (b) its nominee, and (ii) any other entity which directly or indirectly controls, is controlled by or is under direct or common control with ScottishPower Limited from time to time (the term “control” for the purpose of this definition meaning that a person possesses, directly or indirectly, the power to direct or cause the direction of the management and policies of the other person (whether through the ownership of voting shares, by contract or otherwise)).
